These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Client") and Dewx.io, formerly known as Prospect Engine LLC ("we," "our," or "Company"), governing your use of our website at https://dewx.io and any related services we provide.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our website or services.

Dewx.io provides B2B appointment setting, lead generation, and related marketing services, including but not limited to:

• Outbound appointment setting and meeting booking
• LinkedIn lead generation and outreach campaigns
• Cold email outreach campaigns
• Cold calling and SDR services
• SEO, personal branding, and content marketing
• Pipeline strategy consulting

Specific service deliverables, timelines, and pricing are outlined in individual service agreements or proposals provided to each Client.

As a Client of Dewx.io, you agree to:

• Provide accurate, complete, and timely information necessary for service delivery
• Respond to communications and approve campaign materials within reasonable timeframes
• Not use our services for any purpose that is unlawful, deceptive, or unethical
• Maintain the confidentiality of any proprietary methodologies, strategies, or data shared during our engagement
• Make timely payments as outlined in the applicable service agreement

Payment terms, fees, and billing cycles are specified in the individual service agreement between you and Dewx.io. General payment terms include:

• Invoices are issued in accordance with the service agreement and are due upon the terms stated therein
• Late payments may incur a late fee of 1.5% per month on the outstanding balance
• We reserve the right to suspend services for accounts with overdue payments exceeding 15 days
• All fees are non-refundable unless explicitly stated in the service agreement

All content on our website -- including text, graphics, logos, images, and software -- is the property of Dewx.io or its licensors and is protected by applicable intellectual property laws.

The Q2 Framework™, including Q2 Video™, Q2 Reach™, Q2 Target™, Q2 Loop™, Q2 Sync™, and Q2 Forecast™, are proprietary methodologies of Dewx.io. Unauthorized use, reproduction, or distribution of these methodologies is strictly prohibited.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit our content without our prior written consent.

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the engagement. This includes, but is not limited to, business strategies, client lists, campaign data, pricing information, and proprietary methodologies.

Confidential information shall not be disclosed to any third party without prior written consent, except as required by law or as necessary to perform the agreed-upon services.

While we strive to deliver measurable results for every Client, we cannot guarantee specific outcomes. Results depend on numerous factors including your industry, target market, product/service offering, pricing, competitive landscape, and market conditions.

Any case studies, testimonials, or performance metrics shared on our website or in marketing materials represent results achieved for specific clients under specific conditions and should not be interpreted as a guarantee of similar results for your business.

To the maximum extent permitted by applicable law, Dewx.io, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our website or services.

Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you to us during the three (3) months preceding the claim.

You agree to indemnify, defend, and hold harmless Dewx.io and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your breach of these Terms, your use of our services, or your violation of any law or the rights of a third party.

Either party may terminate the service engagement in accordance with the terms specified in the applicable service agreement. In the absence of specific termination provisions:

• Either party may terminate with 30 days written notice
• We may terminate immediately if you breach these Terms or fail to make required payments
• Upon termination, you remain responsible for any outstanding fees and obligations accrued prior to the termination date

We reserve the right to suspend or terminate your access to our website at any time without notice if we believe you are violating these Terms.

Any dispute arising from or related to these Terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of our website or services after any modifications constitutes acceptance of the updated Terms.

For material changes that affect existing service agreements, we will provide reasonable notice via email before the changes take effect.

When using our website, you agree not to:

• Use automated systems (bots, scrapers) to access, collect, or extract data without written permission
• Attempt to gain unauthorized access to any part of our website or systems
• Upload or transmit malicious code, viruses, or any harmful content
• Interfere with or disrupt the integrity or performance of our website
